THIS LIMITATION OF LIABILITY APPLIES TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

13.1. Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt to negotiate a resolution in good faith for a period of no less than sixty (60) days before initiating any formal legal proceeding, except for actions seeking injunctive relief. Such negotiation shall commence upon written notice from one party to the other.

Arbitration (Optional, if applicable under Indonesian Law): While Indonesia generally favors civil litigation, if mutual agreement is reached, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the [specify arbitration rules, e.g., Rules of the Indonesian National Board of Arbitration (BANI)]. The seat of arbitration shall be Jakarta, Indonesia. The language of the arbitration shall be Bahasa Indonesia. The arbitral award shall be final and binding on both parties.

13.3. Litigation: If the parties are unable to resolve the dispute informally or through arbitration (if chosen), either party may initiate litigation in the courts of Indonesia, as specified in Section 12.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

15. Waiver

No waiver of by coklat.febunsil.ac.id of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of coklat.febunsil.ac.id to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and coklat.febunsil.ac.id regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

17. Force Majeure

18. Assignment

We may freely assign or transfer our rights and obligations under these Terms, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Any feedback, comments, ideas, improvements, or suggestions (collectively, “Suggestions”) provided by you to coklat.febunsil.ac.id with respect to the Website shall remain the sole and exclusive property of coklat.febunsil.ac.id.
